1. Interpretation

-“Agreement” means these Terms and Conditions of Sale and the Terms of Use.
-“Delivery” means when we or our contracted carrier leave the Goods at the delivery address you nominate when submitting your order.
-“Delivery Charges” means our charges for delivering the Goods.
-“Goods” means goods ordered by you and/or supplied by us under this Agreement.
-“GST” means goods and services tax under A New Tax System (Goods and Services Tax) Act 1999 (Cth).
-“Price” means the price for Goods as specified on this website.
-“waterfilterdistributor”, “we”, “us” means waterfilterdistributor and our successors/assigns.
-“Website” means https://waterfilterdistributors.com.au/ (as changed from time to time).
-“Website Terms of Use” means the Terms of Use above.
-“you” means the person submitting an order and any principal on whose behalf the order is submitted, and your successors/permitted assigns.

2. Application of These Terms

2.1 By using this Website or offering to buy Goods via this Website, you agree to be bound by this Agreement and the Website Terms of Use. If you submit an order on behalf of a third party with their consent, that party is also bound.

2.2 If there is any inconsistency between this Agreement and the Website Terms of Use in relation to your purchase of Goods, this Agreement prevails.

2.3 We may vary this Agreement at any time without notice. Changes do not apply to orders already submitted.

3. Purchase for End-Users Only

3.1 This Website sells to end-users only. You warrant Goods are for your use and not for re-sale or re-supply.

3.2 Quantity limits may apply and will be notified at checkout.

3.3 If you wish to become a reseller, please contact us.

4. Orders—Submission; Acceptance; Rejection; Cancellation

4.1 When you submit an order:

(a) you offer to purchase the selected Goods for the Price, Delivery Charges and GST displayed; and

(b) you must provide accurate, complete information and any additional details we require.

4.2 We are not bound to accept any order. If we:

(a) accept your order: we will email confirmation and supply Goods under this Agreement (forming a separate binding contract);

(b) reject your order: we will notify you at submission or within a reasonable time and refund any payments in full.

4.3 If Goods are out of stock, we will use reasonable endeavours to obtain them within 30 days and notify you with an estimated Delivery date.

4.4 You may cancel an order any time before Delivery by contacting Customer Service. After Delivery, returns are governed by clause 8.

4.5 If you cancel:

(a) before dispatch, we refund all monies in full;

(b) after dispatch, we refund all monies except Delivery Charges and GST on those charges.

(c) Special-order products (3M Aquapure, Puretec, John Guest parts): a 15% handling fee will be deducted from the total amount on return.

4.6 We may cancel an accepted order if:

(a) Goods are unavailable; (b) your information is incorrect/incomplete; (c) we reasonably believe the order breaches this Agreement; (d) payment cannot be processed; or (e) we reasonably suspect fraud/unlawful activity.

4.7 If we cancel, we will notify you by email and not process payment, or refund all monies if already processed.

5. Delivery

5.1 We deliver Goods within Australia to the address you specify at checkout.

5.2 Any delivery date is a good-faith estimate; we are not liable for delays.

5.3 Unless otherwise agreed in writing:

(a) Someone must be present to receive Goods. You authorise us to leave Goods with any person reasonably appearing to reside/work at the address. Proof of identity and/or the purchasing credit card may be required.

(b) If no one is present, we may not leave the Goods. We will contact you to arrange redelivery and you must pay any additional Delivery Charges.

5.4 Authority To Leave (ATL). By selecting ATL on our Signature on Delivery option, you authorise the courier to leave Goods unattended. Once left, the order is deemed received. Couriers deem ATL as equivalent to a recipient signature.

6. Price, Payment, GST and Delivery Charges

6.1 Prices are displayed on the Website and may change without notice, but not after you submit your order. Prices may differ from other websites we operate.

6.2 You agree to pay the Price, Delivery Charges, GST/other taxes and any fees notified at checkout.

6.3 All monies are payable on order submission.

6.4 Payment is by the cards shown at checkout; you authorise us to debit your nominated card.

6.5 You must pay GST on the Price, Delivery Charges and other fees at the prevailing rate. We provide a tax invoice on processing your payment and a receipt on Delivery.

7. Risk and Title

7.1 Risk and title pass to you on Delivery.

8. Returning Undamaged Goods After Delivery

8.1 We accept returns of undamaged Goods purchased via this Website for 30 days after purchase, with proof of purchase.

8.2 If we accept a return, we refund the Price (incl. GST) paid for those Goods, but not Delivery Charges or GST on Delivery Charges.

8.3 All returns must be made within 30 days of purchase.

9. Defective Goods—Warranty Against Defects

9.1 12-month exchange warranty offered (subject to applicable law and product terms).

10. Limitation of Our Liability

10.1 Nothing in this Agreement limits/excludes liability where not permitted by law.

10.2 Subject to 10.1, all implied terms/warranties are excluded; only those expressly made apply.

10.3 Subject to 10.1, our liability is limited at our option to:

(a) for goods: replacement/repair or payment of the cost of replacement/equivalent/repair;

(b) for services: resupply or payment of resupply cost.

10.4 Subject to 10.1, we are not liable for loss of profit, opportunity, cost savings, economic loss, or indirect/consequential loss.

11. Assignment

You must not transfer any order or this Agreement to any third party.

12. Applicable Law

Your orders and this Agreement are governed by the laws of New South Wales, Australia. Parties submit to the non-exclusive jurisdiction of its courts.
